1. Introduction

These Licensing Terms govern the use of all patterns, graphics, textures and other digital products ("Designs") made available by CEPERA GRAFIKA.

By purchasing, downloading or using a Design, you acknowledge that you have read, understood and agree to be bound by these Licensing Terms, together with the terms of the License you have selected.

Each purchase grants you a License to use a Design under the conditions described in these Licensing Terms. The scope of your rights depends on the type of License you have purchased.

Purchasing a Design does not transfer ownership of the Design or any associated intellectual property rights. All copyright and other intellectual property rights remain the exclusive property of CEPERA GRAFIKA unless expressly transferred through a separate written agreement.

Only the rights expressly granted by your License are provided. All other rights are reserved.

If your intended use is not covered by the available License options, or if your project requires exclusive or specialised licensing, please contact CEPERA GRAFIKA before using the Design.

2. Definitions

For the purposes of these Licensing Terms, the following definitions apply:

Design means any pattern, graphic, texture or other digital product made available by CEPERA GRAFIKA, whether provided individually or as part of a collection.

License means the permission granted by CEPERA GRAFIKA to use a Design under the specific rights, limitations and conditions described in these Licensing Terms.

Personal License means a License intended for personal, non-commercial use, as described in Section 5.1.

Commercial License means a License intended for professional and commercial use, as described in Section 5.2.

Exclusive License means a License granted under a separate written agreement providing exclusive rights as specifically agreed between CEPERA GRAFIKA and the Licensee.

Licensee means the individual or legal entity that has lawfully obtained a License to use a Design.

Project means any product, publication, artwork, service, digital content or other work in which a Design is incorporated or used.

Modify or Modification means altering, adapting, recolouring, resizing, cropping, combining or otherwise editing a Design while retaining recognisable elements of the original Design.

3. Copyright and Ownership

All Designs are protected by copyright and other applicable intellectual property laws.

Unless expressly stated otherwise in a separate written agreement, all rights, title and interest in every Design remain the exclusive property of CEPERA GRAFIKA. Purchasing a License grants permission to use a Design only as permitted by the selected License. It does not transfer ownership of the Design or any intellectual property rights.

Unless otherwise agreed in writing, no attribution is required when using a Design. The absence of attribution does not affect CEPERA GRAFIKA's ownership or authorship.

Nothing in these Licensing Terms shall be interpreted as granting the Licensee any right to claim authorship, register copyright, register a trademark, apply for a patent, or otherwise assert ownership of a Design or any part of it.

The Licensee may incorporate a Design into a Project in accordance with the selected License. Ownership of the finished Project belongs to the Licensee or their client, as applicable. However, ownership of the original Design and all associated intellectual property rights remains with CEPERA GRAFIKA.

Any rights not expressly granted under these Licensing Terms are reserved by CEPERA GRAFIKA.

4. License Scope and Precedence

These Licensing Terms establish the general legal framework governing the use of all Designs made available through CEPERA GRAFIKA.

The rights granted to the Licensee depend on the License selected at the time of purchase. Each License defines its own scope of permitted use and any additional rights or restrictions that may apply.

These Licensing Terms apply to all Licenses unless a specific License expressly provides otherwise.

Where the terms of a specific License differ from these Licensing Terms, the specific License shall prevail to the extent of that difference.

5. License Types

CEPERA GRAFIKA offers a range of licensing options designed to accommodate different types of personal, commercial and professional use. Each License grants a different scope of rights and is subject to these Licensing Terms.

The rights available under one License do not automatically apply to another. Where your intended use falls outside the scope of a standard License, additional rights may be available through a separate written agreement.

5.1 Individual License

An Individual License is intended for private, non-commercial use by a single user.

It permits the use of a Design for personal projects, home printing, crafts, gifts and other non-commercial purposes.

Individual License does not permit commercial use, resale, marketing, branding, advertising or any other business activity.

5.2 Commercial License

The Commercial License is intended for businesses, brands, manufacturers, creative professionals and other commercial users.

It permits the use of a Design in commercial products, branding, packaging, textiles, home décor, printed materials, digital media, marketing materials and other commercial applications, subject to these Licensing Terms.

The Commercial License grants non-exclusive rights and does not prevent CEPERA GRAFIKA from licensing the same Design to other customers.

5.3 Exclusive License

The Exclusive License is available only by separate written agreement.

It is intended for projects requiring exclusive rights, buyouts, custom licensing arrangements or commissioned work.

The scope of rights, duration, territory, limitations, exclusivity and any additional rights granted under an Exclusive License are determined individually and are governed exclusively by the applicable written agreement between CEPERA GRAFIKA and the customer.

5.4 Special Licensing Rights

Some projects require licensing rights beyond the scope of the standard Licenses.

Examples may include, but are not limited to:

  • AI training, machine learning or dataset creation; 
  • enterprise or organisation-wide licensing; 
  • platform-wide distribution rights; 
  • OEM, private label or merchandise programmes; 
  • resale or redistribution rights where expressly agreed; 
  • integrations with software, services or digital platforms; 
  • future technologies, platforms or methods of use not reasonably anticipated at the time these Licensing Terms were published; 
  • other commercial, legal or technical requirements outside the scope of the standard Licenses. 

Where additional rights are available, they will be granted only by separate written agreement and only for the specific project described in that agreement.

If your intended use is not clearly covered by the standard Licenses, or if your project involves exceptional commercial, technical or legal requirements, please contact CEPERA GRAFIKA before using the Design.

6. General Permitted Uses

Subject to the terms of the applicable License, the Licensee may use the Design only in accordance with the rights granted by the selected License.

Unless otherwise specified in the applicable License, permitted uses may include:

  • creating personal, commercial or client projects, as permitted by the applicable License; 
  • incorporating the Design into physical or digital products; 
  • using the Design in printed materials, packaging, textiles, stationery, home décor, advertising, websites, social media, presentations and other comparable creative applications; 
  • resizing, recolouring and making reasonable modifications necessary for the intended Project; 
  • producing and selling finished products created in accordance with the applicable License; 
  • displaying the finished Project for promotional, editorial or portfolio purposes. 

The scope of permitted use depends on the License purchased. Where any provision of a specific License differs from this section, the terms of the specific License shall prevail.

7. General Restrictions

The standard Licenses are intended to encourage broad creative use while protecting the Designs as original intellectual property.

Unless expressly permitted by the applicable License, you may not:

  • sell, resell, sublicense, share or distribute the Design as a standalone digital file; 
  • make the Design, or any substantially similar version of it, available for download, extraction or reuse by third parties; 
  • use the Design as a standalone digital product or asset; 
  • use the Design to create, distribute or sell competing digital design assets; 
  • include the Design in stock libraries, design resources, templates, clip art collections or other products intended for redistribution; 
  • claim authorship, ownership or other proprietary rights in the Design; 
  • register the Design, in whole or in part, as copyright, a trademark, a registered design, a patent or any other intellectual property right; 
  • remove, alter or misrepresent any copyright, attribution or ownership information where such information is provided; 
  • use the Design for machine learning, artificial intelligence training, dataset creation or similar technologies without a separate written agreement with CEPERA GRAFIKA; 
  • use the Design in any manner that exceeds the scope of the License purchased. 

If your intended use falls outside the scope of the standard Licenses, additional rights may be available by separate written agreement. Please contact CEPERA GRAFIKA before using the Design.

8. Modifications and Derivative Works

The Designs are intended to support creative work, and reasonable modifications are permitted where necessary for your Project.

Unless otherwise specified in the applicable License, you may:

  • resize, crop or reposition the Design; 
  • adjust colours, scale or proportions; 
  • combine the Design with text, graphics, photographs or other design elements; 
  • adapt the Design for different products, materials or production methods; 
  • create derivative works based on the Design for use within the scope of your License. 

Any modifications or derivative works remain subject to these Licensing Terms.

Modifying a Design does not transfer ownership, copyright or any other intellectual property rights. CEPERA GRAFIKA retains all intellectual property rights in the original Design and in any recognisable part of it.

Derivative works created under a License may be used only within the scope of the rights granted by that License. They may not be licensed, sold, distributed or otherwise made available as standalone design assets unless expressly permitted by separate written agreement with CEPERA GRAFIKA.

9. Reservation of Rights

All rights not expressly granted under the applicable License remain reserved by CEPERA GRAFIKA.

Except as expressly provided by the applicable License, nothing in these Licensing Terms transfers or assigns any ownership, copyright or other intellectual property rights in the Design.

Unless expressly permitted by separate written agreement, the License does not grant any right to:

  • claim exclusive rights in the Design; 
  • register the Design, in whole or in part, as copyright, a trademark, a registered design, a patent or any other intellectual property right; 
  • use the Design or any part of it as a trademark, logo or other source identifier; 
  • exercise any rights reserved exclusively to CEPERA GRAFIKA under applicable intellectual property laws. 

Exclusive rights may be granted only under an applicable Exclusive License or by separate written agreement with CEPERA GRAFIKA.

10. Breach and Termination

These Licensing Terms are intended to support fair and lawful use of the Designs. Any use of a Design beyond the rights granted under the applicable License is not authorised.

If the Licensee materially breaches these Licensing Terms or the applicable License, the License may be terminated immediately.

Upon termination, the Licensee must immediately cease all use of the Design and, where reasonably practicable, remove or destroy all unauthorised copies.

Termination of a License does not affect CEPERA GRAFIKA's ownership of the Design or any rights and remedies available under applicable copyright and other intellectual property laws.

11. Refunds

Due to the nature of digital products, all sales are generally final.

Once a Design has been downloaded or otherwise made available to the Licensee, it cannot normally be returned or exchanged, and no refund will be provided.

Refunds may be considered only in exceptional circumstances, including where:

  • the purchased file cannot be downloaded or is technically defective; 
  • the wrong file was supplied; 
  • a refund is required under applicable consumer protection laws. 

If you believe you are entitled to a refund, please contact CEPERA GRAFIKA as soon as reasonably practicable, providing your order details and a description of the issue. Each request will be reviewed individually.

12. Limitation of Liability

CEPERA GRAFIKA makes reasonable efforts to ensure that the Designs and accompanying files are prepared with professional care. However, the Licensee remains responsible for verifying that a Design is suitable for its intended use, production process and technical requirements.

To the fullest extent permitted by applicable law, CEPERA GRAFIKA shall not be liable for any indirect, incidental, consequential or special damages arising from the use of, or inability to use, a Design, including loss of profits, business interruption, loss of data or loss of commercial opportunity.

Except where liability cannot be excluded or limited under applicable law, CEPERA GRAFIKA's total liability arising out of or relating to a Design or License shall not exceed the amount paid for the applicable License.

Nothing in these Licensing Terms excludes or limits any liability that cannot legally be excluded or limited under applicable law.

13. Changes to These Terms

CEPERA GRAFIKA may update or revise these Licensing Terms from time to time. The current version will be published on the Website.

Unless otherwise expressly stated, any changes apply only to Licenses purchased after the revised Licensing Terms become effective.

Licenses purchased before the effective date of a revised version will continue to be governed by the Licensing Terms that were in effect at the time of purchase.

Nothing in this section limits any rights or obligations that cannot be modified under applicable law.
